The Tax Commercial Contracts, Director will be responsible for leading the Tax practice's commercial and contractual activities across vendors, alliances, and service relationships. This role is responsible for negotiating, drafting, and managing complex contracts with third-party vendors, including technology providers, while balancing commercial objectives, risk management, and regulatory compliance.
The ideal candidate will be a seasoned commercial or legal professional with experience operating in complex, regulated, or professional services environments and the credibility to influence decision-making at the partner and executive level.

The Tax Commercial Contracts, Director will be responsible for leading the Tax practice's commercial and contractual activities across vendors, alliances, and service relationships. What you will do
Contracting & Negotiation
- Draft, review, and negotiate vendor, alliance, technology, outsourcing, and service agreements supporting the Tax practice.
- Support engagement letters, statements of work, amendments, and renewals related to Tax-enabled service delivery.
- Lead negotiations with third-party vendors and strategic partners, balancing commercial objectives with risk considerations.
- Act as a trusted commercial advisor to Tax partners and leadership, providing practical guidance on contract structures, pricing considerations, risk allocation, and deal strategy.
- Influence decision related to vendors, alliances, and build vs buy assessments from a commercial perspective.
- Support the full contract lifecycle for Tax vendors and alliances, including onboarding, renewals, amendments, remediation, and exit strategies.
- Establish governance frameworks and contractual standards for contracting and relationships.
- Collaborate with Procurement, IT, Finance, and Risk to ensure consistency with firm-wide policies and standards.
- Identify and manage legal, commercial, regulatory, privacy, and data security risks within Tax-related contracts.
- Ensure alignment with firm policies, professional standards, and applicable regulatory requirements. Lead escalations and resolutions of complex or high-risk matters in partnership with OGC or specialized risk teams as appropriate.
- Lead the development and continuous improvement of Tax-specific contract templates, guidance, and workflows.
- Support legal operations and drive efficiency, consistency, and scalability through standardized processes and digital contracting initiatives.
- Law degree (JD or LLB) or equivalent professional qualification; Canadian bar admission is an asset but not required.
- 10+ years of relevant professional experience, including minimum of 5 years in commercial contracting, legal, procurement, or professional services settings, with exposure to technology or vendor agreements.
- Strong experience negotiating complex commercial contracts.
- Strong commercial acumen with the ability to balance risk and business priorities.
- Excellent stakeholder management and executive level communication skills.
- Pragmatic, solutions-oriented mindset with the confidence to advise senior leaders. Highly organized and able to manage multiple priorities in a fast-paced environment.
- Proficiency in English at a business level is required.
